Welcome to Code&Cable. These Terms & Conditions govern all professional engagements for Custom Software Development, Web & Mobile Applications, Enterprise Client Portals, and 24/7 SLA Engineering Retainers provided by Code&Cable to clients operating in India and internationally.
1. Scope of Engagement & Specifications
All software engineering work is performed according to an agreed Statement of Work (SOW), Software Requirements Specification (SRS), formal Client Proposal, or dedicated sprint retainer agreement. Any additional features, scope expansions, or out-of-scope revisions requested outside the documented specifications will be quoted separately or billed at standard engineering rates ($45/hr for international clients or INR 3,500/hr for domestic engagements).
2. Software & Web Development Milestones
- Project Staging & Milestones: Engineering builds follow structured phases: Architecture & Discovery, UI/UX Prototyping, Sprint Execution on Staging, QA Security Testing, and Production CI/CD Handover.
- Client Review & Feedback: Client agrees to provide necessary functional feedback, API credentials, third-party tokens, and sign-offs in a timely manner. Delays exceeding 14 business days may result in sprint rescheduling.
- 30-Day Post-Launch QA Warranty: All custom software builds include a complimentary 30-calendar-day warranty following final DNS/server production deployment to remediate any bugs or functional defects at zero additional charge.
3. Agile Pods, Cloud DevOps & SLA Retainers
- Agile Pod Capacity: Retainer clients receive dedicated senior full-stack engineering capacity, weekly sprint planning, code reviews, and bi-weekly milestone demonstrations.
- Client Engineering Portal: Client reviews deliverables, milestone tickets, and Git commit logs via our private client portal. Approval of milestone deliverables authorizes release to staging or production.
- Production SLA Guarantees: Enterprise maintenance plans include 99.98% production uptime guarantees, 4-hour critical vulnerability mitigation, and daily automated encrypted off-site backups.
4. Intellectual Property & Source Code Ownership
- 100% Client IP Ownership: Upon receipt of 100% final milestone payment, the client owns all bespoke application source code, frontend components, database schemas, and documentation. Code&Cable delivers raw Git repositories with zero recurring licensing lock-ins.
- Third-Party & Open Source Components: Reusable open-source libraries (e.g., React, Node.js, Linux, PostgreSQL) remain licensed under their respective open-source licenses (MIT, Apache 2.0).
5. Payment Terms & Retainer Invoicing
- Currencies: Invoiced in US Dollars (USD) or Indian Rupees (INR) as agreed in writing.
- Fixed-Price Software Projects: Standard milestone schedule is 50% upfront discovery retainer, 25% upon architecture/design approval, and 25% upon final staging approval prior to production handover.
- Monthly Engineering Retainers: Invoiced on the 1st of each calendar month and payable within 7 business days. Sprint capacity is reserved upon receipt of monthly retainer payment.
6. Confidentiality & Data Protection
Both parties agree to protect proprietary information. Code&Cable complies with applicable statutory data privacy frameworks and international information security standards. Client customer data stored in custom web applications remains strictly isolated and encrypted.
7. Governing Law & Jurisdiction
These terms and contracts are governed by and construed in accordance with the laws of India, and any disputes shall fall under the jurisdiction of the competent courts in India, unless an alternative arbitration forum is mutually stipulated in a signed Statement of Work.
